Fina Terms of Use

1. Introduction

Welcome to Fina, an AI Copilot designed to simplify spreadsheet work! Available as an add-in for Microsoft Excel and Google Sheets, Fina enables users to perform complex spreadsheet tasks by providing natural language instructions. These Terms of Use ("Terms") govern your access to and use of Fina ("the App"), provided by Charger, Inc. ("we," "us," or "our"). By installing, accessing, or using Fina, you agree to be bound by these Terms. If you do not agree, you must not use Fina.

These Terms apply to all users, including individuals and entities, and cover your use of Fina within Excel, Google Sheets, or any other platform where Fina is made available. Additional terms from Microsoft or Google may apply when using Fina through their respective platforms, and you are responsible for complying with those terms.

To the maximum extent permitted by law, Fina Technologies, its affiliates, and licensors will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of Fina, including loss of data, profits, or business opportunities. Our total liability for any claim will not exceed $10 USD.

This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if we were advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so these may not apply to you.

You agree to indemnify, defend, and hold harmless Fina Technologies, its affiliates, officers, directors, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:

13.1 Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of Fina will be resolved through binding arbitration in Bellevue, Washington, under the rules of the American Arbitration Association. You waive the right to participate in class actions or representative proceedings. Notwithstanding this, we may seek injunctive relief in any court to protect our intellectual property or prevent harm to Fina.

14.1 Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and Fina Technologies regarding Fina, superseding any prior agreements.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

14.5 Export Compliance

You agree to comply with U.S. and international export control laws. Fina may not be used in embargoed countries or by sanctioned individuals.

We are not liable for delays or failures due to events beyond our control, such as natural disasters or platform outages.
